Sharnika has more than 13 years’ experience in the legal sector and qualified as a Solicitor with HSR Law in 2021. Her experience spans both Corporate and Commercial law and Commercial Property, giving her a valuable understanding of the legal and practical issues that can arise throughout the life of a business.

Sharnika advises clients on business and company acquisitions and disposals, including share purchases and asset purchases. She supports clients throughout the transaction, from the initial heads of terms and confidentiality arrangements through due diligence, negotiation of the principal transaction documents and completion. She has experience advising on complex deal structures involving deferred consideration, earn-outs, completion accounts, warranties, indemnities and post-completion arrangements.

She also advises on company formations and reorganisations, share issues and transfers, share-for-share exchanges, shareholders’ agreements, bespoke articles of association and other constitutional and governance matters. Sharnika works closely with business owners to understand their commercial objectives and put appropriate arrangements in place to regulate decision-making, protect shareholders and support the future growth of the business.

Sharnika also drafts, reviews and negotiates a wide range of commercial agreements, helping clients understand their obligations, manage risk and secure terms that reflect how their business operates.

Sharnika’s previous Commercial Property experience enables her to offer an informed perspective where a corporate transaction also involves premises, investment property or other land interests. She has advised on commercial leases, freehold and leasehold sales and purchases, auction transactions, refinancing and land transactions. This wider experience is particularly valuable on business acquisitions and disposals where corporate, commercial and property matters must be carefully coordinated.
