What is a Dataroom?
A Dataroom is a secure and confidential online portal that is used to hold documents and files that need to be shared with other parties in support of a business transaction.
To ensure that the information uploaded is kept confidential, these documents and files can only be accessed virtually by an invitation sent to authorised third parties. Following completion of the business transaction, the data room documents are downloaded and provided to the relevant party and the invitations are removed.
Our team at HSR Law can help you set up a user-friendly Dataroom. We will ensure that all the documents are organised and that an index is produced to record the contents of the Dataroom.
What is Due Diligence?
Due Diligence is the process of investigating and evaluating a business or assets of a business. The purpose of Due Diligence is to record the position of the Company at the time of the transaction and assess any potential risks and liabilities. It also provides the buyer or investor with the opportunity to become fully familiar with the Company before deciding whether it aligns with their objectives. Due Diligence can cover legal, financial or assets aspects of a business.
